Constitution of Pakistan Food and Nutrition Organization

ARTICLE I: NAME OF THE ORGANIZATIION

The name of the Organization shall be "Pakistan Food and Nutrition Organization".


ARTICLE II: PURPOSE OF THE ORGANIZATIION

Pakistan Food and Nutrition Organization is a non-profit organization.

The objectives include:

  • Promote the cause of Food Science & Technology and Nutrition.
  • Build a strong relationship among academia, Govt. agencies, and NGO's.
  • Set up national and international collaboration for all food science fields in Pakistan.
  • Improve the professional competence of Food Scientists and Nutritionists.
  • Spread awareness bout safe and healthy food and its effect on nutritional status.
  • Encourage education and training at all levels in various fields of food science.

ARTICLE III: DEFINITIONS
The following definitions shall apply for the purposes of this constitution, notwithstanding anything repugnant in this subject or context.
Section 1: The term “BoG” refers to the members of the Board of Governance, details of which’s composition are outlined in Article V  Section 1.
Section 2:  The term “BoD” refers to the members of the Board of Director, details of which’s composition are outlined in Article V  Section 2.
Section 3:  The term “EC” refers to the members of the Executive Committee, details of which’s composition are outlined in Article V  Section 3.

ARTICLE IV: MEMBERSHIP
Section 1: Membership shall be open to any person who wishes to further the interests of the organization.
Section 2: Each person admitted to membership shall be;
    Clause 1: Bound by the Constitution and By-laws of the organization.
    Clause 2: Come liable for such fees and subscriptions as may be fixed by the organization.
    Clause 3: Entitled to all advantages and privileges of membership.
Section 3: Membership Categories
    Clause 1: Professional Member
                     A person holding a Bachelor's degree or equivalent in relevant field and actively engaged in Food Science or Nutrition field for a period of at least 2 years.
    Clause 2: Student Member
                     A student enrolled full-time in studies leading to a career in food science or human nutrition.
    Clause 3: Social Member/Volunteer
                     Other than professional or student members, anyone who wants to support the organization but does not want to take part in its primary goals may join as a Social Member.
    Clause 4: Honorary Member
                     Anyone who deserves special distinction for their contributions in the field of food science or human nutrition.
    Clause 5: Corporate Member
                     A corporation or business involved in the production, sale, or distribution of food, as well as the products, supplies (ingredients, chemicals, etc.), and equipment utilized by the food industries, qualifies as a corporate member.
Section 4: An up-to-date list of the members should be kept on file by an Executive Committee member.
Section 5: The head of Executive Committee may at any reasonable time inspect the records and documents of the organization.
Section 6: Membership Application
An application for membership must be made on the official application form available online at official website (Link: pfno.org/join)
Section 7: Membership Fee
    Clause 1: Members shall pay such yearly fee as may be determined by the Executive Committee and approved by the BoG at the Annual General Meeting, while Honorary members shall be exempted.
    Clause 2: Any member who has been a member of the organization for at least two (2) years continuously may become a Life Member by paying ten (10) annual contributions in one lump sum.
Section 8: Termination of Membership
    Clause1: Any person’s membership may be terminated by the following events:
        Sub-clause 1:  Resignation
        Sub-clause 2:  Expulsion
        Sub-clause 3:  A member’s annual membership fee remains unpaid after 2 months falling due
    Clause 2: Only with the consent of the EC may the chief coordinator dismiss a member of his/her province, and for record-keeping purposes, the chief coordinator should submit written justifications to the EC for dismissal. The Executive Committee shall have the power to suspend or expel any member of the organization for:
        Sub-clause 1:  False or inaccurate statements made in the member’s application for membership of the organization,
        Sub-clause 2:  Breach of any rule, regulation or by-laws (Constitution) of the organization
        Sub-clause 3:  By any act detrimental to the organization, after having undertaken due inquiry.
    Clause 2: The membership of the EC or BoD will be terminated by the BoG in case of:
        Sub-clause 1:  found member of other relevant society/club or organization.
        Sub-clause 2:  if breach of any rule, regulation or by-laws (Constitution) of the organization.
    Clause 3: The membership of the BoG will be terminated by the Founding Members in case of:
        Sub-clause 1:  found member of other relevant society/club or organization.
        Sub-clause 2:  if breach of any rule, regulation, or by-laws (Constitution) of the organization.
    Clause 4: Any other method of terminating membership shall be considered invalid and of no effect.

ARTICLE V: FRAMEWORK
The organization consists of the following main bodies.
Section 1: Board of Governance
    Clause 1: The BoG is the highest body of the organization which includes:
        1. Chairperson
        2. Vice Chairperson
        3. President
        4. Director General
        5. Editorial Manager
        6. Social Media Manager
    Clause 2: The BoG is headed by founding members of the organization irrespective of their positions.
Section 2: Board of Directors
    Clause 1: The BoD of the organization shall consist of the following five posts:
        1. Director General
        2. Director (Event Management)
        3. Director (Planning and Development)
        4. Director (Finance)
        5. Director (Public Relations)
    Clause 2: The BoD is headed by the Director General of the organization.
Section 3: Executive Committee
    Clause 1: The EC of the organization shall consist of the following nine posts:
        1. President
        2. Director General
        3. Senior Vice President
        4. Vice President (Punjab)
        5. Vice President (Sindh)
        6. Vice President (KPK)
        7. Vice President (Balochistan)
        8. Vice President (AJK)
        9. Vice President (GB)
    Clause 2: The EC is headed by the President of the organization.

ARTICLE VI: MEETINGS
Section 1: Annual General Meeting
    Clause 1: The Annual General Meeting of the organization must be held prior to the end of the calendar year.
    Clause 2: The Vice Chairperson shall give at least fourteen (14) days' notice of the date of the Annual General Meeting, to members.
    Clause 3: The quorum at the Annual General Meeting shall be a minimum of the BoG Members. If there is no quorum, at the end of 30 minutes after the time mentioned in the notice for the opening of the Meeting,  the meeting shall adjourn for one week. If in the second meeting, there is no quorum, then the Executive Committee members should be able to handle the objectives of the meeting.
    Clause 4: Quorum 
A quorum of the Annual General Meeting shall be half of the BoG plus one.
Section 2: General Meetings
    Clause 1: General meetings may be called by the president at the written request of members of the organization.
    Clause 2: The president shall give at least seven (7) days notice, in writing, of the date of the General Meeting to the members. Notice of General meetings shall set out clearly the agenda for which the meeting has been called. No other agenda shall be discussed at that General meeting.
  Clause 3: The quorum at the General meeting shall be a minimum of the Executive Committee members.
  Clause 4: Quorum 
A quorum of the General Meetings shall be half of the Executive Committee plus one.

ARTICLE VII: DISSOLUTION
If any organization property is left over after paying off all debts, liabilities, costs, charges, and expenses associated with winding up the organization, it must be given to one of the following:
  • another incorporated organization with goals similar to the organization;
  • a welfare organization, the identity of which shall be determined by the resolution of the BoG members.
